1. Scope of This Privacy Policy

This Privacy Policy applies only to information collected, accessed, or processed through QUOTE TOOL.

The Application's intended purpose is limited to:

  • receiving text input from authorized users;

  • processing that input to assist with preparing estimate information; and

  • communicating the necessary information with an authorized QuickBooks Online account to create estimates.

QUOTE TOOL is not intended to collect or process information for advertising, marketing, resale, or unrelated commercial purposes.

2. Information We May Collect or Access

Depending on how QUOTE TOOL is used, BLACK CAT STUDIOS LTD may collect, receive, access, or process the following categories of information:

A. Information Entered by Users

This may include text or other information entered by an authorized user for the purpose of creating an estimate.

Users should only enter information that is reasonably necessary for the intended business purpose.

B. QuickBooks Online Information

When authorized by the applicable QuickBooks Online account holder, QUOTE TOOL may access or receive information from QuickBooks Online that is necessary to perform the Application's limited purpose.

This may include information required to identify the appropriate QuickBooks Online company or account and information necessary to create or process an estimate.

QUOTE TOOL is intended to access only the information reasonably necessary for its stated functionality.

C. Technical and Operational Information

BLACK CAT STUDIOS LTD may collect limited technical or operational information necessary to operate, maintain, secure, and troubleshoot QUOTE TOOL. This may include:

  • application activity or error information;

  • system or device information;

  • connection or authentication status; and

  • security-related logs.

We do not intentionally collect information for behavioral advertising or unrelated marketing purposes.

3. How We Use Information

BLACK CAT STUDIOS LTD uses information collected or accessed through QUOTE TOOL only for legitimate internal business and operational purposes, including:

  • receiving and processing user input;

  • preparing information for estimates;

  • creating estimates in an authorized QuickBooks Online account;

  • operating and maintaining QUOTE TOOL;

  • authenticating and managing authorized access;

  • identifying, investigating, and resolving errors or security issues; and

  • complying with applicable legal obligations.

We do not sell personal information or QuickBooks Online information.

We do not use information accessed through QUOTE TOOL for advertising or unrelated marketing purposes.

4. QuickBooks Online Data

QUOTE TOOL may connect to QuickBooks Online through authorized Intuit technologies and interfaces.

Any access to QuickBooks Online data is intended to be limited to the information reasonably necessary to provide QUOTE TOOL's functionality.

Information obtained through QuickBooks Online will not be sold, rented, or used for unrelated commercial purposes.

QuickBooks Online is a third-party service operated by Intuit. The collection and handling of information by Intuit and QuickBooks Online are governed by the applicable Intuit and QuickBooks Online terms, notices, and privacy practices.

This Privacy Policy does not replace or modify those third-party policies.

5. How Information Is Shared

BLACK CAT STUDIOS LTD does not sell personal information.

We do not disclose information collected through QUOTE TOOL except as reasonably necessary for the following purposes:

  • QuickBooks Online: Information necessary to create or process an estimate may be transmitted to the authorized QuickBooks Online account.

  • Service Providers: We may use trusted service providers or technical infrastructure necessary to host, operate, secure, or maintain QUOTE TOOL. Such providers may only receive information reasonably necessary to provide their services.

  • Legal Requirements: We may disclose information when required by applicable law, legal process, or a valid governmental request.

  • Protection of Rights and Security: We may disclose information when reasonably necessary to protect the security, rights, property, or safety of BLACK CAT STUDIOS LTD, its users, or others.

6. Data Storage and Retention

BLACK CAT STUDIOS LTD retains information only for as long as reasonably necessary to operate QUOTE TOOL, fulfill the purposes described in this Privacy Policy, meet legitimate business requirements, resolve disputes, maintain security, or comply with applicable legal obligations.

Where information is no longer required, we will delete, anonymize, or otherwise dispose of it in accordance with our applicable data-retention practices, unless continued retention is required or permitted by law.

Information stored within QuickBooks Online may remain subject to the retention and account management practices applicable to the QuickBooks Online account.

7. Data Security

BLACK CAT STUDIOS LTD takes reasonable administrative, technical, and organizational measures designed to protect information processed through QUOTE TOOL against unauthorized access, use, disclosure, alteration, or destruction.

However, no software application, internet transmission, or storage system can be guaranteed to be completely secure. Accordingly, we cannot guarantee absolute security.

Users are responsible for protecting their login credentials, devices, and access to QUOTE TOOL and any connected QuickBooks Online account.

8. Access and Authorization

QUOTE TOOL is intended only for authorized internal users.

Access to QuickBooks Online through QUOTE TOOL requires appropriate authorization. Users must not attempt to access accounts or information for which they do not have permission.

BLACK CAT STUDIOS LTD may suspend or revoke access to the Application when necessary to protect security, comply with applicable requirements, or enforce internal policies.

9. User Responsibilities

Users are responsible for ensuring that information entered into QUOTE TOOL is appropriate for the intended business purpose.

Users should not enter unnecessary sensitive or confidential information into the Application unless such information is required for the legitimate creation of an estimate and its handling is authorized.

Users are also responsible for reviewing estimates and related information before relying on or distributing them.

10. Third-Party Services

QUOTE TOOL relies on QuickBooks Online and may use other third-party services or infrastructure necessary for its operation.

These third parties may have their own privacy policies, terms of service, and data-handling practices.

BLACK CAT STUDIOS LTD is not responsible for the independent privacy practices of third-party services.

11. International or Cross-Border Processing

Information processed through QUOTE TOOL may be stored or processed in locations where BLACK CAT STUDIOS LTD or its authorized service providers operate.

Where applicable, information may be transferred across provincial, state, or national borders in connection with operating, hosting, maintaining, or supporting QUOTE TOOL.

QUOTE TOOL is an internal business tool and is not intended for use by children.

BLACK CAT STUDIOS LTD does not knowingly collect personal information from children through QUOTE TOOL.

END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") governs the use of QUOTE TOOL (the "Application"), an internal software application developed and operated by BLACK CAT STUDIOS LTD ("Company," "we," "us," or "our").

By accessing or using the Application, you agree to be bound by this Agreement.

If you do not agree to this Agreement, you must not use the Application.

1. Purpose of the Application

The Application is a limited-purpose internal business tool.

Its sole intended function is to:

  1. Accept text input from an authorized user;

  2. Use that input to assist in preparing estimate information; and

  3. Connect to an authorized QuickBooks Online account for the purpose of creating estimates.

The Application is not offered for sale, resale, licensing, distribution, or use by the general public.

The Application is not intended to provide accounting, tax, legal, financial, or other professional advice.

2. Internal Use Only

The Application is developed solely for the internal business use of BLACK CAT STUDIOS LTD and its authorized personnel.

The Application may only be used by employees, contractors, or other individuals specifically authorized by BLACK CAT STUDIOS LTD.

You may not:

  • sell, rent, lease, sublicense, distribute, or otherwise make the Application available to any third party;

  • use the Application to provide services to unrelated third parties;

  • copy, reproduce, or distribute the Application except as expressly authorized by BLACK CAT STUDIOS LTD;

  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application, except where such restriction is prohibited by applicable law; or

  • use the Application for any unlawful or unauthorized purpose.

3. License Grant

Subject to compliance with this Agreement, BLACK CAT STUDIOS LTD grants each authorized user a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use QUOTE TOOL solely for BLACK CAT STUDIOS LTD's internal business purposes.

No ownership rights in the Application are transferred to any user.

All rights not expressly granted under this Agreement are reserved by BLACK CAT STUDIOS LTD.

4. QuickBooks Online Integration

The Application may connect to a QuickBooks Online account through authorized Intuit technologies and interfaces.

QUOTE TOOL is designed solely to facilitate the creation of estimates in the authorized QuickBooks Online account.

The Application does not authorize users to access any QuickBooks Online account unless the user or BLACK CAT STUDIOS LTD has properly authorized that access.

Use of QuickBooks Online remains subject to the applicable terms, policies, and requirements established by Intuit. This Agreement does not replace, modify, or supersede any agreement between the user or BLACK CAT STUDIOS LTD and Intuit.

QuickBooks and QuickBooks Online are products and services provided by Intuit. QUOTE TOOL is an independent internal tool and is not represented as being owned, developed, endorsed, or supported by Intuit unless expressly stated otherwise.

5. Data Access and Use

QUOTE TOOL accesses and processes only the information reasonably necessary to perform its intended function of assisting with the creation of estimates.

Information may include:

  • text entered by an authorized user;

  • information required to prepare an estimate;

  • information necessary to identify or connect to the authorized QuickBooks Online account; and

  • information returned by QuickBooks Online that is necessary for the Application to perform its intended function.

The Application does not intentionally use QuickBooks Online data for advertising, resale, unrelated commercial purposes, or public distribution.

BLACK CAT STUDIOS LTD will use information accessed through QUOTE TOOL only as necessary to operate, maintain, secure, and improve the Application for its internal business purposes, subject to applicable law and applicable QuickBooks Online and Intuit requirements.

6. User Responsibilities

Users are responsible for ensuring that:

  • text and information entered into the Application are accurate and appropriate;

  • estimates are reviewed before being relied upon or provided to customers or other third parties;

  • they have appropriate authorization to access and use the connected QuickBooks Online account; and

  • their use of the Application complies with applicable law, BLACK CAT STUDIOS LTD policies, and applicable QuickBooks Online and Intuit requirements.

The Application is a data-entry and workflow assistance tool. Users remain responsible for reviewing the information generated or entered into QuickBooks Online.

7. No Guarantee of Accuracy

Although BLACK CAT STUDIOS LTD may take reasonable steps to maintain QUOTE TOOL, the Application may contain errors, interruptions, defects, or inaccuracies.

The Application does not guarantee that text entered by a user will be interpreted, converted, formatted, or recorded exactly as intended.

Users must review estimates and related information before relying upon them for business, accounting, financial, contractual, or customer-facing purposes.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUOTE TOOL IS PROVIDED "AS IS" AND "AS AVAILABLE."

BLACK CAT STUDIOS LTD MAKES NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR ERROR-FREE OPERATION.

BLACK CAT STUDIOS LTD DOES NOT WARRANT THAT QUOTE TOOL WILL OPERATE WITHOUT INTERRUPTION OR THAT IT WILL ALWAYS BE COMPATIBLE WITH QUICKBOOKS ONLINE OR OTHER THIRD-PARTY SYSTEMS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACK CAT STUDIOS LTD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE QUOTE TOOL.

BLACK CAT STUDIOS LTD WILL NOT BE RESPONSIBLE FOR LOSSES ARISING FROM:

  • incorrect or incomplete text input;

  • inaccurate estimates;

  • user error;

  • unauthorized use of a QuickBooks Online account;

  • interruptions or changes to QuickBooks Online or other third-party services;

  • loss of access to QUOTE TOOL; or

  • a user's failure to review information before relying on it.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.

10. Changes, Suspension, or Termination

BLACK CAT STUDIOS LTD may modify, update, suspend, restrict, or discontinue QUOTE TOOL at any time.

BLACK CAT STUDIOS LTD may revoke an individual's authorization to use the Application at any time.

Upon termination of authorization, the user must immediately stop using the Application.

11. Intellectual Property

QUOTE TOOL, including its software, code, design, workflows, documentation, and other associated materials, is owned by or licensed to BLACK CAT STUDIOS LTD and is protected by applicable intellectual property laws.

Except for the limited license expressly granted in this Agreement, no rights are granted to users.

12. Third-Party Services

QUOTE TOOL relies on QuickBooks Online and may rely on other third-party technologies or services.

The availability and operation of those third-party services are outside the control of BLACK CAT STUDIOS LTD.

BLACK CAT STUDIOS LTD is not responsible for changes, interruptions, suspension, termination, or unavailability of third-party services, including QuickBooks Online.

13. No Relationship With Intuit

QUOTE TOOL is an internal tool developed for use by BLACK CAT STUDIOS LTD.

Unless otherwise expressly stated in writing, QUOTE TOOL is not affiliated with, sponsored by, endorsed by, or supported by Intuit.

Any use of QuickBooks Online remains subject to the applicable agreement between the QuickBooks Online account holder and Intuit.

14. Changes to This Agreement

BLACK CAT STUDIOS LTD may update this Agreement from time to time.

The most current version will govern the use of QUOTE TOOL. Continued use of the Application after an updated Agreement becomes effective constitutes acceptance of the updated Agreement, to the extent permitted by applicable law.

15. Governing Law

This Agreement will be governed by and interpreted in accordance with the laws of [PROVINCE AND COUNTRY], without regard to conflict-of-law principles, except where applicable law requires otherwise.

17. Entire Agreement

This Agreement constitutes the entire agreement between BLACK CAT STUDIOS LTD and the user regarding the user's use of QUOTE TOOL, except for any applicable agreements governing the user's use of QuickBooks Online or other third-party services.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

BY ACCESSING OR USING QUOTE TOOL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS END USER LICENSE AGREEMENT.
